The Department of Registrar of Companies and Intellectual Property announces that according to the Companies (Amendment) Law of 2024, Law No. 18(I)/2024, published in the Official Gazette of the Republic on March 5, 2024, the maximum monetary penalty for Annual Reports with a preparation date for the years 2021 and onwards will not exceed €150 for each violation.
Therefore, the fee for submitting an annual report is as follows:
In the case of late submission:
Twenty euros (€20) form fee
In the case of overdue submission:
Twenty euros (€20) form fee
Twenty euros (€20) penalty fee
The corresponding penalty for late submission is fifty euros (€50) one-time plus one euro (€1) for each day of continued violation, with a maximum total amount of one hundred fifty euros (€150).
According to the Amending Law of 2024, Law No. 18(I)/2024, dated March 5, 2024, the right to a refund of any penalty amount exceeding €150 is granted to those who paid for the submission of HE32 of 2023, from March 5, 2024, onwards.
The refund of the excess penalty amount exceeding €150 will be as follows:
- For online payments made through JCC, the additional amount will be refunded directly to the card used for payment, without any further action required by the applicant.
- For payments made at the Cashier of the Department of Registrar of Companies and Intellectual Property, the additional amount will be refunded to the applicant’s Bank Account after the submission (on the 3rd floor, Room 301 of the Department) of the payment document, along with the authorisation form for payments from FIMAS, accompanied by a photocopy of the Bank Account statement to be credited, as described in the Authorisation Form which is published on the website of the Department of Registrar of Companies and Intellectual Property.
